Company Secretarial Officer

About the role

Our corporate services arm sits in Sheung Wan, five minutes from the Companies Registry, and looks after roughly 400 Hong Kong entities: family holding companies, fund general partners, and the local subsidiaries of overseas groups.

We are hiring because two long-standing clients restructured this spring and added thirty-one new entities between them. The team is six people and Fiona Ip has run it for nine years, which is why our filings go in the week they are due rather than the week after.

If you are studying towards the CGI qualification, the firm pays the fees and the team covers your study leave properly rather than quietly resenting it.

What you'll do

• Maintain statutory records for a portfolio of Hong Kong companies, including registers of members, directors and significant controllers.
• Prepare and file annual returns, incorporation documents and change notifications with the Companies Registry.
• Draft board and shareholder resolutions, minutes and written resolutions in English and, where required, Chinese.
• Coordinate incorporations, deregistrations and share transfers, including stamp duty submissions.
• Liaise with clients, auditors and banks on KYC packs and certified corporate documents.
• Track filing deadlines across the portfolio and escalate anything at risk two weeks out.

What we're looking for

• Two to four years' company secretarial experience in a professional firm or corporate services provider.
• Studying towards, or holding, the CGI/HKCGI qualification.
• Working knowledge of the Companies Ordinance (Cap. 622) and the Significant Controllers Register regime.
• Cantonese and English, plus Chinese word processing for bilingual resolutions.
• Accurate to the point of being slightly annoying about it.

Nice to have

• Experience administering BVI or Cayman entities.
• Familiarity with an entity management platform rather than a spreadsheet.
• Mandarin for Mainland-parented clients.
